[BusyBox] Attempted to kill init!

I've been pulling my hair out trying to get this to work.

I'm using grub to load a kernel(2.4.9-ac9) and initrd
using the initrd as root.

It runs my linuxrc fine.  The last command in it is a call to udhcpc.
It obtains a lease, so I know it works.

My inittab looks like this:
tts/0::askfirst:-/bin/sh

I've also tried all of the following:
::askfirst:/bin/getty -i -L -l /bin/sh tts/0 9600 vt100
::askfirst:/bin/getty -i -L tts/0 9600 vt100

as well as about a hundred other configurations.

Everytime I boot with any of these, right after linuxrc finishes, this
happens:

VFS: Mounted root (ext2 filesystem).
change_root: old root has d_count=10
Mounted devfs on /dev
Trying to unmount old root ... <3>error -16
Change root to /initrd: error -2
Freeing unused kernel memory: 228k freed
BusyBox v0.61.prKernel panic: Attempted to kill init!

Has anyone ever seen this before?  I can't seem to resolve this.
